The Problem
Contract negotiation is slow and unstructured. Legal teams manage redlines via email threads and Word documents, with no systematic way to track positions, understand risk exposure, or generate counter-proposals at speed.
The Approach
Built a negotiation workspace where both parties' positions are tracked clause-by-clause. AI analyses each redline against standard playbook positions and generates counter-proposals with negotiation rationale. Negotiation history is tracked across rounds with a delta view showing what changed.
Architecture / System Design
Clause-level data model with version control (similar to git diffing but for contract language). LLM generates counter-proposal options at configurable risk tolerance levels (aggressive, balanced, conservative). Negotiation round timeline shows full history of accepted, rejected, and open positions.
Outcomes
Live deployed application. Reduces negotiation cycle time by structuring the process and generating counter-proposals in seconds rather than hours.
